User Agreement

Welcome to the Omni website service. This User Service Agreement (this "Agreement") is entered into by and between you and Shenzhen Xinghe Yuntu Technology Co., Ltd. (hereinafter referred to as "Omni"). "Omni" refers to the operating company of Omni (<https://www.iomniport.com/> and <https://portomni.com/>) and its affiliated companies. This User Agreement (this "Agreement") is the legal agreement between you and Shenzhen Xinghe Yuntu Technology Co., Ltd. regarding the use of various Omni services. Other agreements, specifications, rules, statements, announcements, policies, etc. (collectively referred to as "Other Omni Rules") published by Omni are an integral part of this Agreement, and you must also comply with them when using Omni services. Your acceptance of this Agreement is deemed as your acceptance of the Other Omni Rules, and your acceptance of any Other Omni Rules is also deemed as your acceptance of this Agreement. Omni has used bold font to specially remind you to pay attention to the terms in this Agreement that (may) significantly affect your rights and interests (including terms that exempt Omni from liability, limit your rights, dispute resolution terms, and jurisdiction clauses, etc.). Please review them carefully. Please ensure that you have carefully read, fully understood, and unreservedly accepted all terms of this Agreement before using Omni services. The headings of the clauses are for convenience only and shall not affect the interpretation of the terms of this Agreement or the meaning of related clauses. If you have any questions about the relevant clauses, please contact Omni customer service in time.
[By completing the registration process following the instructions on the registration page, reading and agreeing to this Agreement, you indicate that you have fully read, understood, and accepted the entire content of this Agreement, have reached an agreement with Omni, and have become a "user" of the Omni website. If you do not agree to any provision of this Agreement, you should immediately stop the registration process; if you have not completed the registration process, or if you were already a registered user of Omni before this Agreement took effect, your access or use of Omni is deemed your implied acceptance of the entire content of this Agreement. Otherwise, please stop accessing or using the Omni platform.]{.underline}
You confirm that you have full civil capacity and full civil capacity for civil conduct, have the ability to agree to and comply with this Agreement, and shall independently bear legal liability for all your actions under this Agreement. If you do not have the civil capacity corresponding to your actions, you should obtain the informed consent of your legal guardian. [If you are a minor, please read and decide whether to agree to this Agreement under the guidance and accompaniment of your legal guardian, paying special attention to the terms regarding minors. I. Scope of Agreement
This Agreement is concluded between you and the Omni operator (Shenzhen Xinghe Yuntu Technology Co., Ltd.). You execute and agree that you have read this Agreement in detail and voluntarily abide by its relevant terms. The above actions represent your true intention. Under this Agreement, the Omni operator may change due to business adjustments of Omni. The changed Omni operator will jointly perform this Agreement with you and provide services to you. The change of the Omni operator will not affect your rights and interests under this Agreement.
II. Service Overview
1. Overview
As Omni offers numerous service categories, the services obtained by different users vary based on their own choices. This Agreement is only a general user service term. For certain/specific products/services provided by Omni, Omni has the right to formulate specific user service agreements so that you can understand the relevant services more specifically and in detail. You should use the specific product/service only after fully reading and agreeing to all contents of the specific user service agreement.
2. Service Modification and Upgrade
Due to the rapid development of the Internet industry, the terms listed in this Agreement signed by you and Omni cannot fully enumerate and cover all your rights and obligations with Omni, and existing agreements cannot guarantee to fully meet the needs of future development. Therefore, relevant statements and policies announced by Omni, and relevant rules and agreements of Omni are supplementary agreements to this Agreement, are integral to this Agreement, and have the same legal effect. [Omni has the right to send notices regarding Omni page revisions, service upgrades, service modifications, etc., to you through announcements (including but not limited to website homepage announcements, system messages, web pop-ups), SMS reminders, etc. If you refuse to accept the above changes, please immediately stop using the relevant services. Your use behavior is deemed as your acceptance of Omni service modifications and upgrades.]{.underline}
3. Service Description
(1) Omni provides you with services including but not limited to the following:
① Omni website services (including but not limited to all websites owned or operated by Omni (<https://www.iomniport.com/>, <https://portomni.com/>), mobile terminals, etc.);
② Omni content purchase services (hereinafter referred to as "Paid Services"); [Omni will provide a clear prompt before you activate and use Paid Services. Only when you confirm your willingness to pay and activate the relevant service according to the prompt, do you have the right to use such paid online services. If you refuse to pay the relevant fees, Omni has the right to refuse to provide you with such Paid Services.]{.underline}
③ Omni user personal center O-Coin recharge, etc.;
④ Omni membership purchase services;
(2) The services provided by Omni to you are limited to use within the aforementioned Omni platforms. Any act of separating the services provided by Omni from the Omni platform by illegal means such as malicious cracking does not belong to the services provided by Omni as agreed in this Agreement, and all consequences arising therefrom shall be borne by the actor; the services provided by Omni are limited to users' use within the agreed scope. Users shall not use the services provided by Omni beyond the corresponding scope without the prior written permission of Omni. Omni reserves the right to pursue the legal liability of the actor according to law.
4. Service Change, Interruption, or Termination
[(1) Given the particularity of network services, you understand and agree that Omni has the right to change, interrupt, or terminate part or all of the network services (including paid network services) at any time based on operational strategy adjustments. If the changed, interrupted, or terminated network services are free services, Omni does not need to notify you, nor bear any responsibility to any user or any third party; if the changed, interrupted, or terminated network services are paid services, Omni will notify the user in advance before the change, interruption, or termination.]{.underline}
[(2) You understand and acknowledge that Omni needs to regularly or irregularly inspect or maintain the platform providing network services (such as the Internet website) or related equipment. If the paid network service is interrupted for a reasonable time due to such circumstances, Omni shall not bear any responsibility, but Omni will try to give notice in advance.]{.underline}
[(3) If Omni undergoes a merger, division, acquisition, or asset transfer, Omni may transfer the relevant assets under this service to a third party; Omni may also, after notifying you unilaterally, transfer part or all of the services and corresponding rights and obligations under this Agreement to a third party for operation or performance.]{.underline}
[(4) If you engage in acts that violate laws and regulations, violate public order and good customs, violate this Agreement or other Omni agreements, infringe upon the legitimate rights and interests of others, or if your use behavior affects or may affect the legitimate rights and interests of Omni or others, Omni has the right to interrupt or terminate providing all or part of the services to you without notice. If any of the following circumstances occurs, Omni has the right to interrupt or terminate the provision of network services under this Agreement (including paid network services) to the user at any time without any responsibility to the user or any third party:]{.underline}

[(5) After Omni terminates the service to you, it has the right to delete your personal information as required by applicable law, and also has the right to retain your relevant information on the Omni platform for the period and in the manner prescribed by law to protect the legitimate rights and interests of Omni.]{.underline}
5. Other Service Specifications
(1) To facilitate your use of Omni and other related services of Omni's affiliated companies, [you authorize Omni to transmit the information you provide or generate during account registration and use of Omni services to other related service providers such as Omni affiliated companies, or to obtain the information you provide or generate during registration and use of related services from other related service providers such as Omni affiliated companies. You agree that Omni may place commercial advertisements or any other type of commercial information in various ways during the provision of services (including but not limited to placing advertisements anywhere on Omni, placing advertisements in the content you upload and disseminate). You agree to accept promotional or other related commercial information sent to you by Omni via email, station message, SMS, website announcement, or other means.]{.underline}
[(2) Part of the content provided by Omni is generated by artificial intelligence models based on the instructions you input and related content. Omni does not guarantee the authenticity of such content (especially the numbers, time, and factual descriptions contained therein), and you should verify and judge the authenticity of such content yourself.]{.underline}
[Omni has prominently marked content generated by artificial intelligence. You shall not use technical means to remove, tamper with, or hide related marks.]{.underline}
(3) Third-Party Links
Omni may provide links to other domestic/international Internet websites or resources. [Unless otherwise stated, Omni cannot control the services of third-party websites. Any loss or damage suffered by the user due to the use of or reliance on the above websites or resources shall be borne by the user alone, and Omni shall not bear any responsibility. We recommend that you carefully read their terms of service and privacy policy before leaving Omni to visit other websites or resources.]{.underline}
III. Account Registration and Use
1. Account Registration
(1) Some Omni services are only provided to registered users. If you need to use Omni services, please first become a registered user according to the registration process outlined in this Agreement and other service rules, and ensure that the registration information you submit, including but not limited to name, mobile phone number, contact address, ID number, etc., is true, legal, complete, and valid. [In order to provide you with better service and ensure the security of your account, you agree and authorize Omni to initiate inquiries about the authenticity of the user's identity, the validity status of the user's mobile phone number, etc., from reliable units such as the National Citizen Identity Information Query Service Center, telecommunications operators, financial service institutions, etc., based on the mobile phone number, ID number, and other information you provide. If the above registration information changes, please modify it in time. You shall bear the adverse consequences caused by your failure to modify or refusal to modify.]{.underline} You have the right to use the Omni member name, email, mobile phone number (hereinafter referred to as "Account Name") you set or confirm and the password you set (the account name and password are collectively referred to as the "Account") to log in to Omni. Since your Omni account is associated with your personal information and Omni business information, your Omni account is for your personal use only. [Without Omni's consent, any direct or indirect authorization by you to a third party to use your Omni account or obtain information under your account is invalid from the beginning. If Omni determines that the use of your account may endanger your account security and/or Omni information security, Omni may refuse to provide corresponding services or terminate this Agreement. You shall be fully responsible for all actions under your Omni account.]{.underline}
[(2) The methods officially announced by Omni are the only legal methods for registering, logging in, and using Omni services. Any Omni services (including but not limited to account registration, VIP service acquisition) obtained by users through any other means, channels, or methods are illegally obtained. Once discovered, Omni has the right to immediately take measures such as cancellation, account ban, and revocation of authorization. Any adverse consequences resulting therefrom shall be borne solely by the user.]{.underline} Please keep your account and password safe. Any adverse consequences caused by the leakage or theft of the account you use shall be borne by you alone.
2. Usage Rights
You understand and agree that you only have the right to use the Omni account and the products and services provided by Omni under the account. The ownership, intellectual property rights, etc., of the account and related products and services still belong to Omni, except as otherwise provided by law. [Since the user account is associated with user credit information, you may transfer the account only when there is express legal provision, judicial ruling, or with Omni's consent, and in accordance with the user account transfer process stipulated in Omni rules. Once your account is transferred, the rights and obligations under the account are transferred together.]{.underline} In addition, you may not dispose of the above account in any way (including but not limited to gift, loan, transfer, sale, mortgage, inheritance, permission for others to use). [If Omni discovers or has reasonable reasons to believe that you are not the initial registrant of the account, Omni has the right to suspend or terminate the service to you and cancel the account without notifying you.]{.underline}
3. Real-Name Authentication
[As the Omni operator, in order to enable you to better use various Omni services and protect your account security, Omni may require you to complete real-name authentication as required by Omni and Chinese laws.]{.underline}
4. Account Security
(1) You shall properly keep the Omni account you obtained. [Unless Omni is at fault, you shall be responsible for all behavioral results under your account (including but not limited to online signing of various agreements, publishing information, purchasing goods and services, and disclosing information, etc.).]{.underline} If you find any unauthorized use of your account to log in to Omni or any other situation that may lead to the theft or loss of your account, please notify Omni immediately. [You understand that any action taken by Omni on your request requires a reasonable time. Unless Omni is at fault, Omni shall not be liable for any adverse consequences that have occurred before taking action.]{.underline}

① When your account or password is used without authorization, or any security problem occurs, you will immediately and accurately communicate with Omni;
② You should exit the relevant login promptly after using the Omni account;
③ You agree that Omni may send notification information and other relevant information to you via email, client, web page, SMS notification, or other legal means.
(3) [You ensure that you will not perform the following acts:]{.underline}
① Register an Omni account using others' information;
② Register an Omni account in the name of others without legal authorization;
③ Steal or misappropriate others' Omni accounts and related products and services under the account;
④ Use words that violate laws, morals, and public order and good customs, such as insult, slander, pornography, politics, etc., to register an Omni account;
⑤ Maliciously exploit website vulnerabilities through正当 (proper) or improper means for the purpose of illegally possessing Omni-related products or services;
⑥ Other acts that infringe upon the legitimate rights and interests of Omni or others.
You understand and agree that [Omni has the right to impose a registration ban and/or account ban on users who violate the above terms.]{.underline}
5. Account Separation
[(1) The mobile phone account and WeChat account owned by the same entity will be recognized as two independent accounts when logging into Omni;]{.underline}
[(2) Each email account owned by the same entity and used for Omni member login will be recognized as an independent account;]{.underline}
[(3) Each mobile phone account owned by the same entity and used for Omni member login will be recognized as an independent account;]{.underline}
[(4) Recharge records and VIP permissions between each account cannot be migrated, transferred, gifted, sold, rented, or shared, regardless of whether the accounts are owned by the same user. Please pay attention to distinguish when logging in/recharging/participating in activities to avoid losses. Any losses caused thereby shall be borne by you.]{.underline}
6. Account Recycling
(1) You understand and agree that [if your account has not been logged into for a long time, Omni has the right to decide to recover the account usage right within the maximum scope permitted by law. Omni has the right to cancel the relevant account. Your account will no longer be able to log in to Omni, and the corresponding services will be terminated simultaneously. This action does not require your separate consent,]{.underline} but Omni will notify you before cleaning up such accounts through means including but not limited to website announcements,站内消息 (station messages), etc.
IV. Website Content
1. Omni website content refers to the panoramic works, photographic works, musical works, sound and video recordings, etc., displayed and disseminated on the Omni website. The above content is provided by Omni, and the provider/uploader bears full responsibility for its authenticity and legality. If you believe that relevant content infringes upon your legitimate rights and interests, you can request Omni to delete the relevant work by communicating with Omni customer service or sending a relevant email to Omni. Omni will verify the relevant situation within a reasonable period after receiving your email. If the situation you described is true, Omni will promptly remove the relevant work to avoid losses for you. [But you know and agree that if the uploader provides a counter-notification and it is verified by Omni, Omni has the right to restore the relevant link. Disputes arising therefrom shall be resolved between you and the uploader.]{.underline}
2. Omni has set up professional personnel to review the displayed and disseminated content, but you are aware that Omni content is numerous and comes from a wide range of sources, and there may be content that Omni cannot foresee and reasonably control. Therefore, you [are forewarned that you may come into contact with some content that makes you feel unhappy, uncomfortable, or disgusted while using Omni services, and you agree to waive any right of recourse against Omni arising therefrom. Omni does not endorse, recommend, or express views on any content and information uploaded, published, or transmitted by users on Omni, nor does it assume any responsibility for any errors, defects, losses, or damages arising from any content and information. Omni has the right to make factual statements on relevant Omni pages and Omni promotion cooperation platforms regarding your use of Omni services, your use of Omni content in related products, and your respect for intellectual property behavior. Omni guarantees that the stated content does not involve exaggerated publicity, false publicity, etc. The above actions will not damage your existing rights.]{.underline}
V. Rules of Use
1. [When using Omni network services, users shall follow the following principles:]{.underline}
(1) Comply with the relevant laws and regulations of the People's Republic of China;
(2) Comply with all network agreements, regulations, and procedures related to Omni network services;
(3) Do not use the network service system for any illegal purpose, and do not use the Omni network service system to conduct any behavior that may adversely affect the normal operation of the Internet;
(4) Do not use the network services provided by Omni to display or disseminate any false, harassing, slanderous, abusive, threatening, vulgar, obscene, or any other illegal information;
(5) Do not infringe upon the patent rights, copyrights, trademark rights, reputation rights, portrait rights, privacy rights, property rights, or other legitimate rights and interests of any other third party;
(6) Do not use Internet crawlers, spider software, and other scripts or programs to steal content; do not bypass the relevant network restrictions set by Omni to use Omni services; do not use the Omni network service system to conduct any behavior detrimental to Omni;
(7) Do not perform any acts that harm minors;
(8) If you find any illegal use of user accounts or security vulnerabilities in the account, you should immediately notify Omni.
(9) Network users who download Omni's works should use them within the authorized license scope of the works, shall not use them beyond the authorized scope, and shall not infringe upon the legitimate rights and interests of Omni and the rights holders.
[(10) Your account is for your personal use only. At the same time, you guarantee that you will use Omni network services reasonably, not use Omni network services for illegal profit, and not provide the Omni works you download to others for use or provide free/paid proxy downloading for others in any form.]{.underline}
[(11) If you use the upload function provided by Omni, you know and acknowledge that you shall not use new technology applications based on deep learning, virtual reality, generative artificial intelligence, etc., to produce, upload, copy, transmit, or disseminate false news information and other information content prohibited by laws and regulations, or falsely claim synthetic content as natural content. When publishing or disseminating non-real information produced using new technology applications based on deep learning, virtual reality, generative artificial intelligence, etc., you shall mark it in a prominent way. Otherwise, the Omni platform has the right to take measures including but not limited to adding marks, restrictions, and bans on related content and accounts.]{.underline}
[If your actions violate the above terms, all adverse consequences arising therefrom shall be borne by you alone. If this causes losses to Omni, you shall eliminate the impact and compensate Omni for all losses incurred.]{.underline}
2. You shall not issue any words carrying the "Omni" brand such as "cooperating with Omni" or "co-produced with Omni" through any channel or media (including but not limited to self-media, etc.), and shall not use the "Omni" trademark, LOGO, etc., without authorization. Your use of Omni shall not be deemed as an endorsement by Omni of your use behavior. If you need to cooperate with Omni for brand promotion, please contact the Omni business department separately to discuss relevant cooperation matters.
3. Breach of Contract Compensation
You understand and agree that you have the obligation to guarantee and safeguard the interests of Omni and other users. If your use of Omni violates relevant laws and regulations, damages the legitimate rights and interests of any third party, or violates this Agreement or other Omni agreements, you shall bear all adverse consequences arising therefrom (including but not limited to attorney fees, litigation costs, arbitration fees, and other reasonable expenses).
VI. Intellectual Property
1. Omni works are protected by international copyright conventions, the Copyright Law, Patent Law, and other laws and regulations of the People's Republic of China regarding intellectual property. All intellectual property rights of the software, technology, trademarks, materials, etc., used in Omni services and this service belong to Omni.
2. Users shall not modify, adapt, translate the software, technology, materials, etc., used by Omni services, or create derivative works related thereto; shall not maliciously modify, copy, or disseminate the software, technology, materials, etc., used by Omni services; shall not obtain its source code through reverse engineering, decompilation, disassembly, or other similar行为 (acts). Otherwise, all legal consequences arising therefrom shall be borne by the user, and Omni will pursue the legal liability of the breaching party according to law.
3. Omni enjoys complete intellectual property rights over the original content displayed on the website and other exclusive content obtained through authorization (content marked with "商" on the work details page). Without Omni's permission, any unit or individual shall not implement acts that infringe upon Omni's intellectual property rights, such as reprinting, disseminating, and using. Otherwise, Omni will pursue the legal liability of the infringer.
4. Users shall not without authorization delete, conceal, or change Omni's copyright statements, trademarks, or other rights statements. Shall not use Omni trademarks and logos without permission.
[5. You only obtain the right to use Omni content within a certain authorized scope and for a certain period. The ownership and intellectual property rights of Omni content are still enjoyed by Omni or the original rights holder. Omni does not bear any responsibility for your product selection behavior through the above channels. Omni does not make any guarantee regarding the quality, service, etc., of the relevant products. [2. You have known and agreed that Omni has the right to adjust relevant service content, service categories, and service fees at different times based on its own business model. 3. Omni makes no guarantees regarding the following matters:

(2) Although the Omni website, various category sections, sub-websites, etc., have undergone strict testing by Omni, due to the limitations of the technology itself, Omni cannot guarantee complete compatibility with other software, hardware, and systems. [If incompatibility occurs, you can notify Omni to obtain technical support. If the above problems still cannot be solved, you can choose to stop using the relevant Omni services.]{.underline}
(3) Since the use of Omni services involves Internet services, this service may be negatively affected by factors such as force majeure, hacker attacks, system instability, network interruption, user shutdown, communication lines, etc. The above effects may cause the services provided by Omni to be interrupted or fail to meet user requirements. [Therefore, Omni makes no guarantee regarding the conformity of the relevant services with your requirements.]{.underline}
(4) Since Omni content can be downloaded and disseminated through the network, [Omni makes no guarantee regarding the quality of services obtained from non-Omni sources.]{.underline} However, any materials downloaded or obtained by users using Omni services are at the user's own risk. The user shall bear the responsibility for damage to the user's computer system or loss of data caused by such use.

6. Omni shall not bear any legal liability if you lose your account and cannot retrieve it due to untrue authentication information. You should keep your account and password properly, strengthen password security, and guard against account leakage or theft. [Omni shall not compensate for any losses caused by the leakage or theft of the user's account. Omni shall not compensate for account losses caused by non-Omni reasons such as communication line failures of telecommunications and network departments, network or computer failures, system instability, force majeure (such as server downtime), etc.]{.underline}
7. You understand and agree that you independently choose to use Omni services. [Any adverse consequences such as damage to the computer system or loss of data caused by you during the use of Omni services shall be borne by you.]{.underline}
VIII. Account Cancellation
1. Users have the right to apply for account cancellation from Omni. You can cancel your account by contacting Omni customer service (unless otherwise provided by relevant laws and regulations, this Agreement, or other Omni rules). [After the Omni account is cancelled, you will no longer be able to log in and use all Omni products and services through this account, and Omni will simultaneously terminate providing you with any Omni products and services.]{.underline}
2. If you determine that you need to cancel your Omni account, you have fully known and confirmed that [after the account is cancelled, you will no longer have the rights and interests related to the account, including but not limited to:]{.underline}
(1) After the account is cancelled, you will no longer be able to log in and use all Omni products and services with this account, and Omni will no longer provide you with any services related to the account;
(2) After the account is cancelled, all content, information, data, and records that you have ever logged in and used Omni services with this account will be deleted or hidden;
(3) [Your choice to cancel your account is deemed as your waiver of any rights and interests not yet used during the service period of the account in Omni services, including but not limited to VIP service权益 (rights and interests) under your account whose usage period has not expired, various coupons not yet used, points, etc.]{.underline}
3. Before you submit an account cancellation application to Omni, to ensure the account can be successfully cancelled, please check first to ensure the account meets the following conditions:
(1) The account is owned by you and obtained through legal channels;
(2) The account is not temporarily or permanently banned due to violation of relevant laws and regulations or breach of contract;
